These Terms of Service govern your access to the Culina website, beta program, and related software services operated by Sendji Labs LLC. By accessing the site, applying for beta access, or using the platform, you agree to these terms.
1. Eligibility and Beta Access
Culina is currently offered as a beta product for restaurant operators and related business users. Access may be limited, invite-based, or reviewed manually. We may accept, pause, or revoke beta access at our discretion in order to protect product quality, security, and onboarding capacity.
2. Accounts and Access Credentials
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate information, keep account details current, and notify us promptly if you believe your account has been compromised.
3. Acceptable Use
You agree not to misuse the platform. This includes attempting unauthorized access, interfering with service availability, uploading malicious code, scraping protected data, reselling access without permission, or using the platform in a way that violates law or the rights of others.
4. Customer Data
You retain ownership of the business data you submit to Culina. You grant us the limited rights necessary to host, process, secure, back up, and display that data in order to operate and improve the service. You are responsible for ensuring that you have the right to submit any personal or operational data you provide.
5. Beta Product Status
Because Culina is in beta, certain features may change, be interrupted, or be removed. We may update workflows, pricing, limits, and integrations as the product matures. You understand that beta services may contain bugs or incomplete functionality and should be evaluated accordingly.
6. Fees and Future Billing
If you are granted paid access, pricing, billing cadence, and any grandfathered beta terms will be communicated separately. Unless otherwise agreed in writing, fees are non-refundable once a paid service period begins. We may suspend access for overdue balances after reasonable notice.
7. Intellectual Property
Culina, including its software, branding, content, and interface design, is owned by Sendji Labs LLC and protected by applicable intellectual property laws. These terms do not transfer any ownership rights to you except for the limited right to use the service as authorized.
8. Termination
You may stop using the service at any time. We may suspend or terminate access if you violate these terms, create security risk, fail to pay agreed fees, or use the platform in a manner that threatens the service or other users. We may also discontinue the beta program or any part of the service with reasonable notice where practical.
9. Disclaimers
The service is provided on an "as is" and "as available" basis, especially during beta. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability or that every issue will be corrected on a specific timeline.
10. Limitation of Liability
To the maximum extent permitted by law, Sendji Labs LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from your use of Culina. Our total liability for claims relating to the service will not exceed the amount you paid us for the service during the twelve months preceding the claim, or one hundred U.S. dollars if no fees were paid.
11. Governing Law
These terms are governed by the laws of the State of Florida, without regard to conflict of law principles, unless another jurisdiction is required by applicable law.
